Lume Personalised Reseller Program Terms
1. About the Program
Lume Personalised offers an approved reseller program for selected individuals and businesses who wish to market and sell Lume Personalised products to their own customers.
Participation in the reseller program is subject to approval by Lume Personalised and acceptance of these terms.
2. Nature of the Relationship
Approved resellers act as independent resellers of Lume Personalised products. Nothing in these terms creates any employment, agency, partnership, franchise, fiduciary, or joint venture relationship between Lume Personalised and the reseller.
The reseller is not authorised to make representations, warranties, promises, or commitments on behalf of Lume Personalised except where expressly approved in writing.
3. Reseller Pricing
Approved resellers may purchase eligible Lume Personalised products at reseller pricing notified by Lume Personalised from time to time.
Lume Personalised may offer:
a fixed reseller discount, or
a tiered reseller discount based on monthly order volume.
Reseller pricing, product availability, and product eligibility may be changed by Lume Personalised at any time on notice to the reseller.
4. Minimum Resale Price
The reseller must not advertise, offer, or sell any Lume Personalised product below the current retail price published by Lume Personalised on its website, unless prior written approval is given by Lume Personalised.
The reseller may sell at the same price as Lume Personalised or at a higher price at the reseller’s discretion.
5. Customer Relationship
The reseller is responsible for dealing directly with its customer, including:
marketing and promotion
explaining product options
obtaining correct personalisation details
confirming delivery details
collecting payment from the customer
Unless otherwise agreed in writing, Lume Personalised deals only with the reseller and not with the end customer.
6. Orders
All reseller orders are subject to acceptance by Lume Personalised.
The reseller must provide complete and accurate order information, including:
product selection
colour, size, and style details
names, wording, spelling, dates, or other personalisation details
quantity
delivery details
required timeframe
Lume Personalised may refuse or cancel any order where:
the requested product is unavailable
the requested deadline cannot be met
the requested personalisation is unsuitable
the reseller has not complied with these terms
payment has not been received
7. Payment to Lume Personalised
The reseller must pay Lume Personalised in full before production begins, unless otherwise agreed in writing.
For large, bulk, or custom orders, Lume Personalised may require a deposit and may specify separate payment terms.
8. Production and Quality Control
Lume Personalised is responsible for producing the ordered products in accordance with the order details submitted and accepted.
Lume Personalised retains control over:
production methods
materials
packaging standards
quality control
dispatch method
9. Shipping and Delivery
Lume Personalised may, at its discretion:
ship the product directly to the end customer on the reseller’s behalf, or
deliver or make the product available to the reseller for onward delivery
Shipping fees, handling fees, delivery times, and dispatch methods will be notified at the time of order.
Any delivery timeframe provided is an estimate only.
10. Order Errors
The reseller is responsible for ensuring that all order information submitted to Lume Personalised is complete and correct.
Lume Personalised is not responsible for errors resulting from incorrect information supplied by the reseller, including incorrect spelling, dates, names, colours, sizes, quantities, or delivery details.
11. Refunds, Returns, and Faults
Because many Lume Personalised products are custom-made or personalised, change-of-mind returns are generally not accepted.
However, nothing in these terms excludes rights that cannot be excluded under Australian Consumer Law. Where a product fails to meet applicable consumer guarantees, remedies may include repair, replacement, refund, or other remedies required by law.
If the reseller reports a production fault or error caused by Lume Personalised, Lume Personalised will assess the issue and determine the appropriate remedy.
12. Branding and Marketing
The reseller may use Lume Personalised brand assets, product photos, and approved marketing materials only in the manner authorised by Lume Personalised.
The reseller must not:
alter branding in a misleading way
claim to own the Lume Personalised brand
copy or reproduce Lume Personalised designs except for authorised promotion
make false or misleading claims about products, pricing, turnaround times, or availability
Businesses must be truthful and not make misleading claims when advertising and selling goods and services.
13. Intellectual Property
All intellectual property in the Lume Personalised brand, business name, logos, product content, product images, designs, mock-ups, website content, and marketing materials remains the property of Lume Personalised unless otherwise agreed in writing.
14. Reseller Responsibilities
The reseller is responsible for:
its own business costs
its own tax obligations
its own insurance requirements
its own sales practices
its own customer communications
15. Suspension or Termination
Lume Personalised may suspend or terminate a reseller’s participation in the program immediately if the reseller:
sells below the permitted minimum price
damages the Lume Personalised brand
engages in misleading conduct
fails to pay amounts due
breaches these terms
Either party may end the reseller relationship by giving 14 days’ written notice, unless immediate termination applies for serious breach.
16. Changes to Terms
Lume Personalised may update these reseller terms from time to time. Updated terms will apply from the date they are published or otherwise notified to the reseller.
17. Governing Law
These terms are governed by the laws of New South Wales, Australia.
